Terms of Service
By using Bad Code Studio's services, you agree to these terms and conditions. Please read them carefully.
1. Company Identity
Bad Code Studio — Domenjoz, P.O. Box, 1095 Lutry, Switzerland. Email: info@badcodestudio.ch. Activity: software development, design and artificial intelligence consulting services.
2. Services Offered
Bad Code Studio provides software development, UX/UI design, artificial intelligence integration and technology consulting services. Estimates provided by our AI or manually are indicative and non-binding. A detailed quote will be established before any work begins.
3. Order and Acceptance
Any collaboration begins with the submission of a concept through our platform or by direct contact. A detailed service agreement will be established and must be accepted by both parties before work commences.
4. Pricing and Payment
Prices are defined in the quote or service agreement. Unless otherwise stated, invoices are payable within 30 days. In case of late payment, default interest of 5% per year may be applied in accordance with Swiss law (Art. 104 CO).
5. Intellectual Property
Unless otherwise agreed in writing, intellectual property of the developments carried out is transferred to the client after full payment. Bad Code Studio retains the right to use general technologies, methods and know-how developed during the project.
6. Confidentiality
Both parties agree to treat all information exchanged during the collaboration as confidential. A non-disclosure agreement (NDA) can be signed upon request before sharing sensitive information.
7. Warranty and Maintenance
Bad Code Studio guarantees the conformity of deliverables with the agreed specifications. A 30-day warranty period is included after final delivery for bug fixes. Subsequent maintenance is subject to a separate agreement.
8. Limitation of Liability
Bad Code Studio cannot be held liable for indirect damages, data loss, loss of profits or business interruptions related to the use of developed software. Our total liability is limited to the amount actually paid by the client for the service in question.
9. Termination
Either party may terminate the contract with 30 days' written notice. In the event of early termination, the client agrees to pay for services already rendered. Bad Code Studio will return all deliverables completed to date.
10. Force Majeure
Neither party shall be liable for failure to fulfill its obligations due to a force majeure event (natural disaster, pandemic, major infrastructure failure, etc.).
11. Governing Law and Jurisdiction
These terms are governed by Swiss law. Any dispute shall be subject to the exclusive jurisdiction of the courts of the district of Lausanne, Canton of Vaud, Switzerland.
12. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Changes
Bad Code Studio reserves the right to modify these terms. Changes will be published on this page and will take effect upon publication.
